PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICE. BY ACCESSING OR USING THE SERVICE IN ANY FORM — INCLUDING VIA WEB INTERFACE, API, MCP SERVER, OR AGENT-TO-AGENT PROTOCOL — YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and FieldCrest Ventures LLC ("Company," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of the Signa platform, including all related websites, APIs, applications, services, and tools (collectively, the "Service"). These Terms are effective as of the date you first access or use the Service.
If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and the organization.
2. Definitions
As used in these Terms:
- "Signal Output" means any quantitative signal, score, classification, alert, or analytical result generated by the Service, including Tier 1, Tier 2, and Tier 3 signals.
- "Agent-to-Agent" or "A2A" means any programmatic integration in which an automated system or AI agent submits queries to or processes outputs from the Service.
- "Signal Distillation" means using Signal Outputs, patterns of Signal Outputs, or derived representations thereof to train, fine-tune, calibrate, or improve any AI model, quantitative model, algorithmic system, or competing signal service.
- "Competing Service" means any product, service, platform, or system that generates quantitative investment signals, trading alerts, or substantially similar outputs for commercial distribution.
- "Broker Integration" means any feature connecting the Service to a third-party brokerage platform for the purpose of viewing positions, syncing data, or executing orders.
3. Eligibility
The Service is intended for users aged 18 or older. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. The Service is not available to individuals or entities subject to sanctions administered by OFAC, the EU, or the United Nations. Access from jurisdictions where use of the Service would be unlawful is prohibited.
4. Description of Service
Signa is a quantitative research and analytical platform. The Service operates a multi-model pipeline that generates Signal Outputs based on technical analysis, fundamental data, sentiment analysis, and other quantitative frameworks. Signal Outputs are informational in nature and are intended to support your own independent investment research.
The Service is provided on an "as available" basis. Signal Outputs are generated nightly and are subject to market conditions, data availability, and pipeline execution. We do not guarantee continuous availability of Signal Outputs or any particular cadence of generation.
5. Regulatory Status and Investment Disclaimers
THE SERVICE IS NOT REGISTERED AS AN INVESTMENT ADVISER, BROKER-DEALER, COMMODITY TRADING ADVISER, OR ANY OTHER REGULATED FINANCIAL ENTITY. THE SERVICE DOES NOT PROVIDE INVESTMENT ADVICE, BROKERAGE SERVICES, OR PERSONALIZED FINANCIAL RECOMMENDATIONS.
Signal Outputs are generated algorithmically for informational and research purposes only. They do not constitute investment advice, a recommendation to buy or sell any security, or a solicitation of any investment decision. Backtested or historical performance of any model or Signal Output does not guarantee or imply future results. All investments involve risk of loss, including loss of principal.
You are solely responsible for evaluating Signal Outputs and for any investment decision you make. The Company assumes no responsibility for investment decisions made in reliance on Signal Outputs.
6. Human-in-the-Loop Requirement
THE SERVICE IS DESIGNED AS A HUMAN-ASSISTED DECISION SUPPORT TOOL. YOU ARE REQUIRED TO EXERCISE INDEPENDENT HUMAN JUDGMENT BEFORE ACTING ON ANY SIGNAL OUTPUT.
You agree that you will not configure any automated system, algorithm, or AI agent to execute trades, place orders, or make investment decisions automatically and without human review solely based on Signal Outputs. Any Broker Integration must be supervised by a human decision-maker at all times. Automated execution of trades triggered directly by Signal Outputs without human review is a material breach of these Terms.
7. Broker Integrations
The Service may offer optional integrations with third-party broker platforms, including Alpaca, tastytrade, and Coinbase Advanced Trade ("Broker Integrations"). Use of Broker Integrations is subject to the following:
- Broker Integrations are provided as a convenience. The Company is not a party to any agreement between you and your broker.
- You are solely responsible for any order placed through a Broker Integration, including any unintended or erroneous orders.
- The Company does not guarantee the accuracy of position data, order status, or any information returned by broker APIs.
- Broker credentials you provide are stored using industry-standard encryption. You are responsible for maintaining the security of your broker credentials.
- The Company is not liable for any losses arising from the use of Broker Integrations, including losses caused by system errors, API failures, data latency, or unauthorized access to your broker account.
8. Subscriptions, Billing, and Refunds
8.1 Subscription Plans
Access to the Service requires a paid subscription. Subscription tiers, features, and pricing are described on the pricing page at getsigna.ai/pricing, which may be updated from time to time. Features and data access vary by tier.
8.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annual). Payment is processed by Stripe, Inc. You authorize recurring charges to your payment method for the applicable subscription amount until you cancel. Failure to maintain a valid payment method may result in suspension or termination of access.
8.3 Refunds
Subscription fees are non-refundable except as required by applicable law. In our sole discretion, we may issue credits or partial refunds in exceptional circumstances.
8.4 Changes to Pricing
We reserve the right to change subscription pricing with 30 days' notice. Price changes will be communicated by email. Continued use of the Service after the effective date of a price change constitutes acceptance.
9. Intellectual Property and Proprietary Rights
9.1 Ownership
The Service, including all Signal Outputs, models, algorithms, software, databases, documentation, design elements, and all other content, is owned by or licensed to the Company and protected by copyright, trade secret, and other intellectual property laws. All rights not expressly granted are reserved.
9.2 Limited License
Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Signal Outputs solely for your own personal or internal business investment research purposes.
9.3 Restrictions
You may not: (i) redistribute, resell, sublicense, or provide access to Signal Outputs to any third party; (ii) incorporate Signal Outputs into any product or service offered to third parties; (iii) engage in Signal Distillation; (iv) reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service; (v) remove or alter any proprietary notices; (vi) use Signal Outputs to operate or improve a Competing Service; or (vii) scrape, crawl, or systematically download Signal Outputs or other Service content.
9.4 Liquidated Damages
The parties acknowledge that actual damages for certain breaches are difficult to calculate and agree to the following liquidated damages as a reasonable estimate: (a) unauthorized scraping or automated bulk extraction of Signal Outputs: $50,000 per day of violation; (b) Signal Distillation or use to develop a Competing Service: $250,000 per occurrence; (c) redistribution of Signal Outputs to a third party as part of a competing or commercial service: $150,000 per occurrence. These amounts are not penalties but reasonable estimates of harm. The Company reserves the right to seek additional damages where actual harm exceeds these amounts.
10. Developer, API, MCP, and A2A Access
10.1 API Keys
API access requires a valid API key issued to your account. API keys are personal and non-transferable. You are responsible for maintaining the security of your API key. Unauthorized use of your API key is your responsibility. The Company may revoke API keys at any time for suspected abuse or violation of these Terms.
10.2 MCP Server
Access to the Signa MCP Server constitutes acceptance of these Terms, including this Developer Addendum. The MCP Server exposes Signal Outputs and related data through tool calls. All tool calls are subject to the same use restrictions as direct API access.
10.3 A2A Protocol
Use of the Agent-to-Agent protocol requires a registered Agent-ID. Each agent that calls the A2A endpoint must be registered in your account dashboard. You are responsible for all A2A usage under your registered agents. Every A2A response includes an immutable origin_source field that must be preserved in all downstream systems. Stripping or overwriting this field is a material breach of these Terms.
10.4 Usage Restrictions
Programmatic access may not be used to: (i) circumvent rate limits; (ii) systematically replicate or reproduce Signal Outputs at a scale beyond your licensed use; (iii) feed Signal Outputs into any system that engages in Signal Distillation; or (iv) build any unauthorized integration that constitutes a Competing Service.
See Exhibit A for the complete Developer & API Addendum, including attribution rules, watermark provisions, and A2A chain requirements.
11. Prohibited Uses
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) engage in market manipulation or any activity that violates securities laws; (c) transmit any malicious code or interfere with the Service's operation; (d) attempt to gain unauthorized access to any part of the Service; (e) impersonate any person or entity; (f) collect information about other users without their consent; or (g) use the Service in connection with any fraudulent activity.
12. Disclaimers of Warranties
THE SERVICE AND ALL SIGNAL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SIGNAL OUTPUTS ARE GENERATED BY AUTOMATED MODELS AND MAY CONTAIN ERRORS. NO WARRANTY IS MADE REGARDING INVESTMENT RESULTS FROM USE OF THE SERVICE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; (C) ANY INVESTMENT LOSSES ARISING FROM RELIANCE ON SIGNAL OUTPUTS; (D) THE ACTS OR OMISSIONS OF ANY BROKER OR THIRD-PARTY SERVICE; OR (E) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA. IN ANY CASE, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (I) FIVE HUNDRED DOLLARS ($500) OR (II) THE AMOUNT YOU PAID TO THE COMPANY IN THE THREE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its members, managers, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any investment decision you make based on Signal Outputs; or (e) any use of your account credentials by any third party.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@fieldcrestventures.com and provide 30 days to attempt informal resolution of any dispute.
15.2 Binding Arbitration
Except for disputes subject to small claims court or seeking injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified below. Arbitration shall be conducted in Palm Beach County, Florida or virtually. The arbitrator's award shall be final and binding.
15.3 Batch Arbitration
If 25 or more claimants simultaneously file demands raising substantially similar claims, such claims shall be administered under AAA's Mass Arbitration Supplementary Rules. Each individual claimant's claim remains separate and shall be decided on its individual merits.
15.4 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION RELATING TO THESE TERMS OR THE SERVICE.
15.5 Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles, except that the Federal Arbitration Act governs the arbitration provisions.
16. General Provisions
16.1 Modifications
We may modify these Terms at any time. Material changes will be communicated by email with at least 14 days' notice. Continued use after the effective date constitutes acceptance. If you do not accept modified Terms, your sole remedy is to cancel your subscription and discontinue use.
16.2 Termination
We may suspend or terminate your access at any time, with or without cause, with or without notice. You may cancel your subscription at any time through your account settings. Upon termination, your license to use the Service ends immediately. Sections 9, 12, 13, 14, and 15 survive termination.
16.3 Entire Agreement
These Terms, together with the Privacy Policy and any applicable addenda, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.
16.4 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Exhibit A — Developer & API Addendum
This Exhibit A forms part of the Terms of Use and governs all programmatic access to the Service.
A.1 Attribution Requirements
Every Signal Output delivered via API, MCP, or A2A includes an origin_source field with the value "Signa/FieldCrestVentures". This field must be preserved in all downstream data structures. You may not strip, overwrite, or exclude this field in any system that stores, displays, or processes Signal Outputs.
A.2 Watermark Signals
The Company may inject canary or watermark signals into API feeds to detect unauthorized redistribution. These signals are designed to be statistically indistinguishable from ordinary Signal Outputs. Detection of watermark signals in a third-party system creates a rebuttable presumption of unauthorized redistribution.
A.3 No Shadow Modeling
You may not accumulate, store, or analyze patterns of Signal Outputs over time for the purpose of replicating, approximating, or substituting for the Service's signal generation capability. This prohibition applies regardless of whether the resulting model is used commercially.
A.4 A2A Agent Registration
All agents accessing the A2A endpoint must be registered with a valid Agent-ID. Agent-IDs are issued per account and are non-transferable. Unregistered agents will be rejected. Each registered agent is subject to per-agent rate limits and usage logging.
A.5 Rate Limits
API access is subject to rate limits by subscription tier. Rate limits are enforced per account and per registered agent. Attempting to circumvent rate limits via IP rotation, credential sharing, or other means is a material breach.
A.6 Downstream Chain Requirements
If you transmit Signal Outputs to a downstream automated system (a "chain"), you are responsible for ensuring that all systems in the chain comply with these Terms, including attribution requirements. You may not use Signal Outputs in any A2A chain designed to enable Signal Distillation by a downstream party.
